Downriver IT provides information technology services including but not limited to:
- Website development and hosting
- IT support and consulting
- Network setup and maintenance
- Business technology solutions
- Client portal access for support tickets and file sharing
3. User Accounts
To access certain features of our services, you may need to create an account. You agree to:
- Provide accurate and complete information when creating your account
- Maintain the security of your account credentials
- Promptly notify us of any unauthorized use of your account
- Accept responsibility for all activities that occur under your account
4. Acceptable Use
You agree not to use our services to:

- Infringe on the rights of others
- Upload malicious software or harmful content

5. Client Portal
Access to our client portal is provided to authorized clients only. Through the portal, you may:
- Submit and track support tickets
- Access files shared by Downriver IT
- View information about your active services
You are responsible for maintaining the confidentiality of any information accessed through the portal.
6. Payment Terms
Payment terms for services will be specified in individual service agreements or invoices. Unless otherwise agreed:
- Invoices are due upon receipt unless otherwise specified
- Late payments may result in suspension of services
- All fees are non-refundable unless otherwise stated
7. Intellectual Property
All content, features, and functionality of our website and services are owned by Downriver IT and are protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our express written permission.
For custom development work, ownership and licensing terms will be specified in the applicable service agreement.
8. Limitation of Liability
To the fullest extent permitted by law, Downriver IT shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities.
Our total liability for any claims arising from your use of our services shall not exceed the amount paid by you for the services in question during the twelve (12) months preceding the claim.
9. Disclaimer of Warranties
Our services are provided "as is" and "as available" without warranties of any kind, either express or implied. We do not guarantee that our services will be uninterrupted, secure, or error-free.
10. Indemnification
You agree to indemnify and hold harmless Downriver IT from any claims, damages, losses, or expenses arising from your use of our services or violation of these terms.
11. Termination
We reserve the right to suspend or terminate your access to our services at any time for any reason, including violation of these terms. Upon termination, your right to use our services will immediately cease.
12. Changes to Terms
We may modify these terms at any time. We will notify you of significant changes by posting the updated terms on our website. Your continued use of our services after such changes constitutes acceptance of the new terms.
13. Governing Law
These terms shall be governed by and construed in accordance with the laws of the State of Michigan, without regard to its conflict of law provisions.
